1. Introduction

These Terms & Conditions govern the provision of services by Cana Form (“we,” “us,” or “our”) to clients (“you” or “your”). By engaging our services, you agree to these terms.

2. Scope of Services

Cana Form offers a range of services, including but not limited to:
– Interior fit-out execution
– Architectural detailing
– Production of IFC (Issued for Construction) drawings
– Technical coordination across disciplines
– Site supervision
– Value engineering
– Façade detailing

Our services are primarily B2B, catering to architectural and interior design firms, developers, contractors, and direct clients.

3. Client Responsibilities

Clients are expected to:
– Provide timely and accurate information necessary for project execution.
– Ensure access to project sites as required.
– Review and approve deliverables promptly to maintain project timelines.

4. Fees and Payment

– Fees for services will be outlined in the project proposal or agreement.
– Invoices are issued according to the agreed schedule and are payable within 21 days of the invoice date.
– Late payments may incur interest charges as permitted by applicable law.

5. Intellectual Property

– All designs, drawings, and related materials produced by Cana Form remain our intellectual property unless otherwise agreed in writing.
– Upon full payment, clients are granted a non-exclusive license to use the deliverables for the specified project.

6. Confidentiality

– Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the project.
– This obligation continues beyond the termination of the agreement.

7. Liability

– Cana Form will perform services with reasonable skill and care in accordance with industry standards.
– Our liability for any claims arising from our services is limited to the amount paid for the specific service in question.

8. Termination

– Either party may terminate the agreement with written notice if the other party breaches any material term and fails to remedy it within 14 days of notice.
– Upon termination, clients are responsible for payment for all services rendered up to the termination date.

9. Governing Law

These Terms & Conditions are governed by the laws of Georgia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Tbilisi, Georgia.
